Terms of Service
1. Agreement to These Terms
These Terms of Service (the “Terms”) are a binding agreement between RightSite LLC (“RightSite,” “we,” “us,” or “our”), a Kansas limited liability company, and the person or entity accessing or using our websites, applications, dashboards, and site reports (together, the “Services”). By creating an account, placing an order, or otherwise using the Services, you accept these Terms. If you use the Services on behalf of a company, you represent that you have authority to bind that company, and “you” refers to it.
2. The Services
RightSite provides analytical site reports for electric vehicle charging, including L2 Reports for Level 2 charging sites and L3 Reports for DC fast charging sites, delivered through your dashboard. Reports combine data from utilities, government sources, third-party providers, and RightSite’s own models. L3 Reports additionally include review by a RightSite analyst before delivery; delivery timeframes stated on our site are estimates.
3. Eligibility and Accounts
The Services are intended for business use by persons 18 years of age or older. You are responsible for the accuracy of the information in your account, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly through our contact page of any unauthorized use.
4. Orders and Fees
Fees for the Services are as displayed at the time of purchase. Purchases of individual reports and report packs are one-time transactions; report packs do not expire unless otherwise stated at purchase. Prices may change at any time, but changes will not affect orders already placed. You are responsible for any applicable taxes. Payments are processed by third-party payment providers, and your use of their services is subject to their terms.
5. License and Acceptable Use
Subject to these Terms, RightSite grants you a limited, non-exclusive, non-transferable license to access and use the Services and your purchased reports for your internal business purposes. You may share a report you purchased with your own advisors, clients, investors, or lenders in connection with the evaluation of the site it covers. You may not:
- resell, republish, or redistribute the Services or reports as a standalone product;
- copy, scrape, or systematically extract data, models, or outputs from the Services;
- reverse engineer, decompile, or attempt to derive the models, algorithms, or source code underlying the Services;
- interfere with the operation or security of the Services, or access them by automated means without our written permission;
- use the Services for any unlawful purpose or in violation of any applicable law; or
- share account credentials with, or provide access to, unauthorized persons.
6. Your Inputs
You retain ownership of the information you enter into the Services. You grant RightSite a license to use that information to generate your reports, operate and secure the Services, and improve our models in aggregated or de-identified form. You are responsible for having the rights to any information you provide.
7. Intellectual Property
The Services, including all software, models, algorithms, scoring systems, report formats, content, and trademarks, are owned exclusively by RightSite LLC and are protected by law. Except for the limited license in Section 5, no rights in the Services are granted to you. If you provide feedback or suggestions, we may use them without restriction or obligation.
8. Data Sources and Third-Party Information
Reports incorporate information from third-party sources, including utility tariffs, government funding programs, and commercial data providers. RightSite works to verify key inputs and refresh them on a regular cycle, but we do not control third-party sources and are not responsible for their errors or omissions. Utility rates should be confirmed with the serving utility, and incentive amounts and eligibility should be confirmed with the administering agency, before any commitment is made.
9. Reports Are Not Professional Advice
Reports are decision-support estimates produced from stated assumptions. They are not financial, investment, tax, accounting, legal, or engineering advice, and RightSite is not a registered investment advisor, broker-dealer, or financial planner. Projections describe possible outcomes; actual performance will vary, potentially materially. Any decision to develop, finance, or invest in a charging site remains solely yours, and you should consult your own qualified advisors before acting.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND INCLUDING WARRANTIES IMPLIED BY USAGE OF TRADE OR COURSE OF PERFORMANCE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RIGHTSITE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES. RIGHTSITE’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO RIGHTSITE FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You will defend, indemnify, and hold harmless RightSite and its members, officers, employees, and agents from and against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Services in violation of these Terms or of applicable law, or from information you provide to the Services.
13. Suspension and Termination
You may stop using the Services at any time. RightSite may suspend or terminate your access if you materially violate these Terms or use the Services in a way that creates risk or possible legal exposure for RightSite. Upon termination, your license ends and you must cease use of the Services; Sections 6 through 12 and 14 through 16 survive termination.
14. Changes to the Services or These Terms
RightSite may modify the Services or these Terms from time to time. Material changes to these Terms will be communicated through the Services or by email, and the updated Terms will apply from the date stated. Your continued use of the Services after changes take effect constitutes acceptance.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Kansas, United States, without regard to conflict of law principles. The exclusive jurisdiction and venue for any dispute arising from these Terms or the Services will be the state and federal courts located in Kansas, and each party consents to their jurisdiction.
16. General
These Terms, together with any separate written agreement between you and RightSite, are the entire agreement regarding the Services. If any provision is held unenforceable, the remainder stays in effect. RightSite’s failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; RightSite may assign them in connection with a merger, acquisition, or sale of assets.
